Terms of Service

1. Introduction

These Terms govern your use of Uplo (“the Service”). By creating an account or using Uplo, you agree to these Terms.

2. Eligibility

Freelancers must be 18+ to use Uplo and receive payouts via Stripe Connect.

Clients must be 16+.

Users under 18 may require parental consent under GDPR.

3. Accounts

You are responsible for maintaining account security, providing accurate information, and complying with UK law and GDPR.

Freelancers may delete their account at any time. Clients may request deletion via support@uplo.cloud.

4. Payments

All payments and payouts are processed by Stripe and Stripe Connect.

Uplo does not store payment card details.

Freelancers are responsible for setting prices, delivering work, and complying with tax obligations.

5. Content Ownership & Licensing

Freelancers own all content they upload.

By uploading content, freelancers grant Uplo a temporary licence to store, process, watermark, generate previews, and deliver files to clients.

This licence is required for Uplo to function.

Once payment is completed, clients receive ownership rights to final delivered files.

Uplo may remove or archive files after a long retention period.

6. Prohibited Content

Users may not upload illegal content under UK law, harmful, abusive, or fraudulent content, malware or malicious files, copyrighted content without rights, explicit content involving minors, or explicit content without full consent of participants.

Uplo may remove content or suspend accounts violating these rules.

7. Platform Usage

You agree not to misuse the platform, attempt to bypass security, scrape or copy data, impersonate others, or interfere with Uplo’s operations.

8. File Storage & Removal

Uplo stores project files using Cloudflare R2.

Uplo may archive old files, remove files after long-term retention, or delete files when accounts are closed.

9. Free Tools (Watermark Utilities)

Uplo provides public free watermark tools for image, video, and PDF files that are separate from client portals and freelancer dashboard storage.

Free tool usage is limited to 3 total files per IP address per day.

Files processed by free tools are temporary and are automatically deleted after approximately 1 hour.

10. Termination

We may suspend or terminate accounts that violate these Terms, upload illegal content, engage in fraud, or misuse the platform.

11. Liability

Uplo is not liable for freelancer performance, client disputes, loss of earnings, loss of files after retention periods, or third-party service outages (Stripe, Supabase, Cloudflare).

12. Changes to Terms

We may update these Terms. Continued use of Uplo means you accept the updated Terms.
